OWNERSHIP OF SITE CONTENT AND MARKETING MATERIALS
Unless otherwise explicitly specified by Daily Manufacturing, all materials that are provided by Daily Manufacturing or are otherwise included in Sites, including past, present and future versions, domain names, source and object code and the “look and feel” of the Sites (“Site Content“) and marketing materials are owned, controlled or licensed by Daily Manufacturing, and are protected from unauthorized use, copying and dissemination by copyright, trademark, patent, and other laws, rules, regulations and treaties.
Marketing materials and Site Content may not be copied, reproduced, downloaded or distributed in any way, in whole or in part, except with the express permission of Daily Manufacturing and as is expressly provided in these Terms. Any unauthorized use of the Site Content is prohibited.
VIRAL DISTRIBUTION AND E-COMMERCE
Daily Manufacturing grants you the limited, revocable permission, subject to the restrictions in these Terms, to share portions of the Site Content with others via the following methods when a Site feature purposefully makes such sharing available (“Viral Distribution“): (a) sending Site Content to friends or acquaintances at no charge; or (b) posting and displaying a copy of Site Content on a personal web site; or (c) posting and displaying a copy of the Site Content on a third party web site that permits users to post content, so long as the posting is allowed pursuant to the third party web site’s terms and conditions and policies, and provided that the third party web site does not charge for access to those materials or associate those materials with products, services or advertising.
If you engage in Viral Distribution and or E-commerce, you agree that you will not post any performance claims about a Daily Manufacturing or Daily Manufacturing brand (“Daily Manufacturing Brand”, including but not limited to Daily Nutritional Products) product. For example, you must not claim that a Daily Manufacturing or Daily Manufacturing Brand product cures a disease or works in a specific way, but it would be acceptable to state, “Daily Manufacturing vitamins are my favorite!” or “I think Daily Manufacturing vitamins are great!” with your Viral Distribution. All product descriptions and marketing materials must comply with applicable laws and regulations, including but not limited to FDA and FTC guidelines. In other words, you understand that only Daily Manufacturing can make claims, promises or statements on behalf of Daily Manufacturing about its products. You also agree that you will not imply that you and Daily Manufacturing or any Daily Manufacturing Brand are affiliated in any way or that Daily Manufacturing approves of your comments.
LINKING POLICY
Daily Manufacturing grants you the revocable permission to link to the Sites; provided, however, that any link to the Sites: (a) must not frame or create a browser or border environment around any of the content on the Sites or otherwise mirror any part of the Sites; (b) must not create the false impression that Daily Manufacturing, any Daily Manufacturing Brand, or the Site you link to is endorsing or sponsoring any third party or its products or services, unless Daily Manufacturing has given the third party prior written consent; (c) must not present false information about, or disparage, tarnish, or otherwise, in Daily Manufacturing’s sole opinion, harm Daily Manufacturing or its products or services; (d) must not use any Daily Manufacturing trademarks without the prior written permission from Daily Manufacturing; (e) must not contain content that could be construed as distasteful, offensive or controversial or otherwise objectionable (in Daily Manufacturing’s sole opinion); and (f) must be owned and controlled by you or the person or entity placing the link, or otherwise permit you to enable such link subject to these Terms. By linking to the Sites, you agree that you do and will continue to comply with the above linking requirements.
Notwithstanding anything to the contrary contained in these Terms, Daily Manufacturing reserves the right to prohibit linking to the Sites for any reason in our sole and absolute discretion.
BRAND REPRESENTATION
Daily Manufacturing does not allow or grant permission for repackaging, relabeling, or making any unauthorized alterations to Daily Manufacturing products, including but not limited to changing packaging, modifying labels, or altering product formulations. All products must be sold in their original, unopened packaging as provided by Daily Manufacturing.
In accordance with laws and regulation Daily Manufacturing does not authorize the sale of any Daily Manufacturing products that are expired, out of date, or past their “best by”, “sell by” or “use by” dates. Sellers must implement proper inventory management to ensure only fresh, in-date products are offered for sale. Sellers must store Daily manufacturing products in conditions that maintain their quality, safety, and efficacy, following any storage guidelines provided by Daily manufacturing to not compromise product integrity.
All product listings and marketing materials must accurately represent the Daily Manufacturing brand, using only approved logos. Sellers must not disseminate misleading information or content that could harm the brand’s image.
INDEMNIFICATION
You agree to indemnify, defend, and hold harmless each of the Daily Manufacturing Parties from and against any and all claims, demands, damages, losses, costs, investigations, liabilities, judgments, settlements, attorneys’ fees, and other expenses that directly or indirectly arise from or are otherwise directly or indirectly related to: (a) your breach or anticipatory breach of these Terms or any Additional Terms; (b) your User Content; and your use of Viral Distribution; (c) your violation of any law, rule, regulation, code, statute, ordinance or order of any governmental and quasi-governmental authorities, including, without limitation, all regulatory, administrative and legislative authorities; (d) information or material transmitted through your computer, even if not submitted by you, that infringes, violates or misappropriates any copyright, trademark, trade secret, trade dress, patent, publicity, privacy or other right of any person or defames any person; (e) any misrepresentation made by you.
